Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the CoachingOS platform operated by Quadratic, Inc. (“CoachingOS,” “we,” “us,” or “our”), available at www.coachingos.com (the “Service”). By accessing or using the Service you agree to be bound by these Terms.

1. Description of Service

CoachingOS is a coaching management platform that provides tools for:

–Client relationship management
–Session scheduling and time blocking
–Goal tracking and progress monitoring
–Network management and candidate ranking
–Integration with calendar and email services

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service you represent that you meet this requirement. The Service is currently available by invitation only; access is granted at our discretion.

3. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@coachingos.com if you believe your account has been compromised.

You may not create multiple accounts or share your account with others.

4. Google integrations

The Service offers optional integrations with Google Gmail and Google Calendar. By connecting these integrations you authorise CoachingOS to access your Gmail and Calendar data as described in our Privacy Policy. You may revoke this access at any time from your CoachingOS Connections settings or from your Google Account permissions page.

You are solely responsible for the emails you send and the contacts you add through the Service. CoachingOS does not send emails on your behalf without your explicit action for each individual message.

5. Acceptable use

You agree not to:

–Use the Service to send spam, unsolicited bulk email, or any communication that violates applicable law (including CAN-SPAM and GDPR)
–Scrape, copy, or redistribute data from the Service without our written permission
–Attempt to gain unauthorised access to any part of the Service or its infrastructure
–Use the Service to harass, threaten, or harm any person
–Interfere with the operation of the Service or circumvent any security measures
–Use the Service for any unlawful purpose

6. Intellectual property

The Service and its content (excluding your own data) are owned by Quadratic, Inc. and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

You retain ownership of all data you upload or create in the Service. By using the Service you grant us a limited licence to store and process your data for the purpose of providing the Service to you.

7. Privacy

Our Privacy Policy describes how we collect and use your personal data and is incorporated into these Terms by reference.

8. Third-party services

The Service integrates with third-party services including Google (Gmail and Calendar), Convex (infrastructure), and PostHog (analytics). Your use of those services is subject to their respective terms and privacy policies. CoachingOS is not responsible for the practices of third-party services.

9. Payment terms

–Payment is due according to your chosen billing cycle
–We may change pricing with reasonable advance notice
–Refunds are provided according to our refund policy
–You are responsible for all applicable taxes

10. Disclaimers

The Service is provided “as is” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Limitation of liability

To the maximum extent permitted by law, Quadratic, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to us in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Quadratic, Inc. and its affiliates, officers, and employees from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time for any reason, including if we reasonably believe you have violated these Terms. You may delete your account at any time by contacting support@coachingos.com. Upon termination, your right to use the Service ceases immediately.

14. Governing law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law provisions. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in California.

15. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a notice in the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
